1. Agreement
This End User License Agreement ("EULA") governs your use of OSBeats Vocal Studio and related OSBeats software components, including the OSBeats Plugin Bridge, installers, updates, documentation, and associated software made available by OSBeats LLC.
By selecting "Agree & Continue," installing or using covered software, or continuing to use Vocal Studio after being required to accept this EULA, you agree to this EULA and the OSBeats Terms of Service.
2. License Grant
Subject to this EULA and the OSBeats Terms of Service, OSBeats LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use OSBeats Vocal Studio and to install authorized OSBeats software components on devices you own or control for lawful music creation, recording, editing, collaboration, production, and related purposes.
This is a license to use the software. The software itself is not sold to you and ownership of OSBeats software is not transferred to you.
3. Ownership of Vocal Studio
OSBeats LLC and its licensors retain all right, title, and interest in OSBeats Vocal Studio, the OSBeats Plugin Bridge, source code, object code, interfaces, documentation, original graphics, designs, branding, and other protected software materials, except for third-party materials and user content.
4. Your Music and Creative Work
You retain ownership of music and other original content that you lawfully create or own, including vocals, performances, recordings, beats, stems, mixes, masters, project files, and other creative work.
Using Vocal Studio does not transfer ownership of your original music to OSBeats.
You grant OSBeats only the limited rights reasonably necessary to process, transmit, store, synchronize, back up, or otherwise handle your content to provide features you choose to use, as further described in the OSBeats Terms of Service and Privacy Policy.
5. Collaborators and Recording Consent
You are responsible for obtaining all permissions required to record, transmit, store, process, publish, distribute, or otherwise use another person's voice, performance, communications, likeness, or creative contribution.
Vocal Studio does not determine songwriting splits, publishing rights, master ownership, producer points, royalties, credits, work-for-hire status, or other ownership arrangements among collaborators. Collaborators should establish those rights separately.
6. OSBeats Plugin Bridge
The OSBeats Plugin Bridge is an OSBeats software component designed to allow supported local plugin functionality to communicate with Vocal Studio.
You may install and use authorized Plugin Bridge packages solely in connection with permitted OSBeats functionality.
You may not tamper with authentication, signatures, local security controls, communication protections, update mechanisms, or other security features used by the Plugin Bridge.
7. Third-Party Plugins
Vocal Studio may allow you to load, control, or interact with third-party plugins, including VST3 plugins.
OSBeats does not provide a license to third-party plugins. You are responsible for obtaining and complying with all licenses required by the plugin developer or rights holder.
OSBeats does not guarantee compatibility, stability, availability, or continued support for any particular third-party plugin.
8. MIDI, Audio Hardware, Drivers, and Devices
Vocal Studio may interact with MIDI controllers, microphones, audio interfaces, speakers, headphones, drivers, browsers, and other hardware or software.
Compatibility may vary based on operating system, browser, firmware, drivers, device configuration, manufacturer behavior, permissions, and other factors outside OSBeats control.
References to a tested or compatible device do not constitute a warranty that every configuration of that device will operate identically.
9. Remote Sessions and Network Features
Remote recording and collaboration depend on network conditions, participant devices, permissions, browsers, operating systems, and other technical factors.
You are responsible for deciding who you invite to a session and what content you share with collaborators.
10. Storage, Exports, and Backups
You are responsible for exporting and maintaining independent backup copies of important recordings, stems, mixes, masters, project data, and other irreplaceable work.
Although Vocal Studio may provide saving, synchronization, transfer, recovery, or backup features, OSBeats does not guarantee that data can always be recovered after hardware failure, software failure, browser failure, network interruption, corruption, user error, or other data loss.
11. Updates and Changes
OSBeats may provide updates, patches, security changes, compatibility updates, feature changes, or replacement versions of Vocal Studio or related software.
Some updates may be required to continue using a feature or to maintain security or compatibility.
12. Restrictions
You may not:
- Copy or distribute OSBeats software except as expressly permitted.
- Sell, sublicense, rent, lease, or commercially redistribute the OSBeats software itself.
- Remove or alter copyright, trademark, signature, licensing, or proprietary notices.
- Bypass authentication, authorization, licensing, signing, security, or access controls.
- Use the software to introduce malware, exploit systems, steal credentials, conduct unauthorized surveillance, or attack OSBeats or another person.
- Reverse engineer, decompile, or disassemble OSBeats software except to the limited extent such restriction is prohibited by applicable law.
- Use Vocal Studio or the Plugin Bridge to violate copyright, privacy, publicity, recording, communications, or other applicable laws.
13. Third-Party and Open-Source Components
Vocal Studio or related software may include or rely on third-party or open-source components. Those components may be governed by separate license terms. Nothing in this EULA limits rights granted directly to you under an applicable open-source license.
14. Beta and Experimental Features
Features identified as beta, preview, experimental, test, early access, or under development may be incomplete, change without notice, or contain defects.
Do not rely on experimental features as the only copy of important recordings or project data.
15. Disclaimer of Warranties
To the extent permitted by law, Vocal Studio, the Plugin Bridge, and related software are provided on an "as is" and "as available" basis.
OSBeats does not warrant that the software will be uninterrupted, error-free, compatible with every plugin or device, or immune from all data loss or technical failure.
Nothing in this EULA excludes warranties or consumer rights that cannot lawfully be excluded.
16. Limitation of Liability
To the extent permitted by applicable law, OSBeats LLC and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use or inability to use Vocal Studio, including loss of recordings, sessions, projects, creative opportunities, profits, or third-party plugin data.
Nothing in this EULA limits liability where limitation is prohibited by law.
17. Termination
This license continues until terminated. Your rights under this EULA may terminate if you materially violate this EULA or the OSBeats Terms of Service.
Upon termination, you must stop using software components for which your license has ended and uninstall them where required.
Termination does not transfer ownership of your lawful creative content to OSBeats.
18. Relationship to the OSBeats Terms
The OSBeats Terms of Service and Privacy Policy apply to Vocal Studio in addition to this EULA.
If this EULA expressly conflicts with the general Terms concerning the license or operation of Vocal Studio software, this EULA controls for that specific software issue.
19. Changes to This EULA
OSBeats may update this EULA when software, security requirements, features, laws, or business practices materially change.
When OSBeats requires acceptance of a new EULA version, you may be required to review and affirmatively accept the updated version before continuing to use Vocal Studio.
20. Severability
If any provision of this EULA is found unenforceable, the remaining provisions remain effective to the extent permitted by law.
