1. Agreement to These Terms
These Terms of Service govern access to and use of OSBeats and services provided by OSBeats LLC, including the OSBeats Marketplace, creator and artist tools, profiles, uploads, music licensing and purchases, memberships, promotions, messaging, collaboration features, OSBeats Vocal Studio, mastering tools, OSAI, the OSBeats Plugin Bridge, and other related services we make available.
By creating an account, accessing or using OSBeats, purchasing or selling through OSBeats, or affirmatively accepting these Terms, you agree to these Terms and to policies that are expressly incorporated into them.
Use of OSBeats Vocal Studio and its related software components is also subject to the OSBeats Vocal Studio End User License Agreement ("Vocal Studio EULA").
2. Eligibility and Minors
OSBeats is a general-audience service and is not directed to children under 13. You may not create or use an OSBeats account if you are under 13 years old.
If you are between 13 and the age of legal majority where you live, you may use OSBeats only with permission and supervision of a parent or legal guardian who agrees to be responsible for your use of the service.
Creator sales, purchases, paid memberships, payouts, payment processing, and other commercial activities may be subject to additional age, identity, contractual-capacity, or payment-provider requirements. Where required, a parent or legal guardian must complete or authorize those activities.
3. Accounts and Platform Access
You are responsible for providing accurate account information, maintaining the security of your credentials, and activity performed through your account.
You may not share credentials in a manner that compromises account security, impersonate another person or organization, or use another person's account without authorization.
OSBeats may restrict, suspend, or deactivate accounts that violate platform rules or create security, fraud, legal, payment-processing, copyright, safety, or marketplace risk.
4. User Content and Ownership
You retain ownership of content that you lawfully create or upload, including music, beats, songs, vocals, recordings, stems, session files, projects, artwork, images, text, and other original content, subject to any rights you have separately granted to collaborators, labels, publishers, buyers, licensors, or other parties.
By submitting content to OSBeats, you grant OSBeats a limited, non-exclusive license to host, store, process, reproduce, transmit, display, stream, index, moderate, back up, and otherwise use the content only as reasonably necessary to operate, secure, improve, and provide the features you choose to use.
You must own or have all permissions, releases, licenses, and other rights necessary for content you submit or use through OSBeats, including music, samples, loops, vocals, performances, artwork, images, names, logos, and other intellectual property.
5. Vocal Studio, Recording, and Collaboration
OSBeats Vocal Studio provides tools for recording, editing, processing, mixing, collaboration, remote sessions, MIDI control, plugins, and related music-production activities.
You are responsible for obtaining any consent or permission required before recording, transmitting, storing, publishing, or distributing another person's voice, performance, communications, or other contributions.
Collaborators remain responsible for determining ownership, splits, credits, royalties, publishing interests, master ownership, and other rights between themselves. OSBeats does not create those agreements for collaborators unless a specific OSBeats feature expressly states otherwise.
6. Third-Party Plugins, Hardware, and Services
OSBeats may interoperate with third-party VST3 plugins, MIDI controllers, audio interfaces, drivers, operating-system features, browsers, payment providers, identity providers, and other third-party products or services.
Third-party products remain subject to their own licenses and terms. OSBeats does not grant you rights to third-party plugins or software and does not guarantee that every third-party device, driver, plugin, or service will remain compatible.
7. Marketplace Transactions and Creator License Terms
Beat licenses, direct purchases, full-song purchases, bundles, memberships, paid promotions, and other offerings may have different terms and prices.
Buyers are responsible for reviewing the applicable license or purchase terms before completing a transaction. Creators are responsible for accurately describing the rights they offer and for having authority to grant those rights.
A purchase of a finished song or audio file does not automatically transfer copyright, publishing, master ownership, or other ownership rights unless the applicable agreement expressly states that those rights are transferred.
A Beat Buyout, exclusive license, non-exclusive license, and finished song purchase are distinct transactions and may grant different rights.
8. Payments, Subscriptions, and Money-Transmission Restrictions
Payments through OSBeats must relate to legitimate platform products or services. Users may not use OSBeats for unauthorized peer-to-peer money transmission, cash-equivalent transfers, disguised payments, payment laundering, or attempts to use OSBeats as an unlicensed money transfer service.
Payment processing may be handled by third-party providers such as Stripe, PayPal, or other supported processors. Their terms and eligibility requirements may also apply.
Memberships and subscription features may renew or terminate according to the terms displayed at purchase and the applicable payment provider's rules.
9. Strictly Prohibited Content and Services
OSBeats does not permit content, services, listings, payments, or monetization involving prohibited material. Prohibited activity includes:
- Pornography, sexually explicit content, sexual services, escort services, prostitution, fetish services, or adult-content monetization.
- Sexually explicit or adult content generated with artificial intelligence.
- Content that sexually exploits or endangers minors or any unlawful sexual content.
- Copyright-infringing, pirated, stolen, or unauthorized music, samples, software, artwork, images, or other intellectual property.
- Malware, malicious code, credential theft, unauthorized surveillance, or attempts to compromise OSBeats or another user's systems.
- Content or activity supporting unlawful violence, violent extremist organizations, terrorism, or hate-based violence.
- Targeted hatred or dehumanizing abuse based on protected characteristics.
- Illegal goods or services, fraud, scams, deceptive transactions, or other unlawful activity.
10. Platform and Software Security
You may not bypass authentication, authorization, licensing, rate-limits, security controls, access restrictions, Plugin Bridge protections, or technical measures used by OSBeats.
You may not probe, scan, exploit, disrupt, reverse engineer, or interfere with OSBeats except to the extent such restriction is prohibited by applicable law or you have express written authorization from OSBeats.
11. Reporting, Monitoring, and Enforcement
OSBeats provides tools that allow users, rights holders, and other affected parties to report content or accounts that may violate these Terms or platform policies.
Authorized OSBeats personnel may review reports and relevant platform records. OSBeats may remove or restrict content, limit monetization, suspend or terminate accounts, preserve audit records, block abusive activity, and take other reasonable actions to protect users, rights holders, payment systems, or the platform.
12. Copyright and Intellectual Property
Users must respect copyright, trademark, publicity, privacy, and other intellectual-property rights. OSBeats may respond to valid copyright notices and repeat infringement in accordance with its DMCA / Copyright Policy and applicable law.
Except for user content and third-party materials, OSBeats software, branding, interface elements, documentation, designs, and other original platform materials are owned by or licensed to OSBeats LLC and are protected by applicable intellectual-property laws.
13. Backups and Project Responsibility
OSBeats may provide saving, storage, synchronization, export, backup, or recovery features, but users remain responsible for maintaining independent copies of important recordings, project files, stems, masters, licenses, and other valuable materials.
No online or local software system can guarantee that data will never be corrupted, deleted, interrupted, or lost.
14. Beta, Preview, and Experimental Features
Some features may be identified as beta, preview, experimental, early access, or otherwise under development. Such features may change, contain errors, be interrupted, or be discontinued and should not be relied upon as the sole copy of important work.
15. Availability and Changes to the Service
OSBeats may update, modify, suspend, replace, or discontinue features as the service evolves. We do not guarantee uninterrupted or error-free availability.
16. Disclaimers
To the extent permitted by law, OSBeats is provided on an "as is" and "as available" basis. OSBeats does not warrant that every feature, plugin, device, browser, network connection, collaboration session, or third-party integration will operate without interruption or error.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
17. Limitation of Liability
To the extent permitted by law, OSBeats LLC and its officers, employees, contractors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of OSBeats, loss of recordings or project data, creator-to-buyer disputes, collaborator disputes, third-party plugins or services, or interruption of the service.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
18. Responsibility for Claims Arising From Your Conduct
To the extent permitted by applicable law, you are responsible for claims, losses, or expenses arising from content you submit, rights you purport to grant, your violation of another person's rights, your violation of these Terms, or unlawful use of OSBeats.
19. Suspension and Termination
You may stop using OSBeats at any time. OSBeats may restrict or terminate access when reasonably necessary for violations of these Terms, fraud, security threats, infringement, abuse, nonpayment, payment-provider requirements, legal obligations, or protection of the platform and its users.
Provisions that by their nature should survive termination, including ownership, intellectual-property, transaction records, disclaimers, limitations of liability, and enforcement rights, remain effective after termination.
20. Changes to These Terms
These Terms may be updated as OSBeats evolves or as required by law, payment providers, security needs, new products, or platform-safety requirements.
Material changes may be communicated through the website, account notices, email where appropriate, or an in-product acceptance screen. Where OSBeats requires affirmative acceptance of an updated version, continued access to the applicable service may require that acceptance.
21. Other Policies and Agreements
The Privacy Policy, Cookie Policy, DMCA / Copyright Policy, Acceptable Use Policy, Content Policy, Refund Policy, Vocal Studio EULA, creator license terms, and other transaction-specific agreements may apply in addition to these Terms.
If a specific agreement expressly conflicts with these Terms for a particular product or transaction, the more specific agreement controls for that subject.
22. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
These Terms together with incorporated OSBeats policies and applicable product- or transaction-specific agreements form the agreement between you and OSBeats concerning the relevant services.
